Terms of Service

Plain English summary: Use eInvoicey for legitimate business purposes, pay your subscription if you choose a paid plan, keep your account credentials secure, and don't misuse the platform. We provide the service as-is and are not liable for your tax filings.

1. Agreement to Terms

By creating an account or using eInvoicey ("Service"), you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree, do not use the Service.

These Terms form a legally binding agreement between you ("User", "you") and eInvoicey ("we", "us").

2. Description of Service

eInvoicey is a cloud-based invoicing and accounting platform designed for businesses operating in the UAE. The Service includes:

FTA-compliant tax invoice creation and management
Credit note generation
UAE VAT Return (Form 201) reporting
Expense tracking and bill management
Customer and vendor management
Financial reports (Profit & Loss, Balance Sheet, AR/AP Aging, etc.)
TLV QR code generation per FTA specifications

Important: eInvoicey is a software tool to help you prepare VAT returns and invoices. It does not constitute tax advice. You remain solely responsible for the accuracy of your tax filings and compliance with UAE Federal Tax Authority regulations.

3. Account Registration

You must provide accurate, current, and complete information during registration.
You are responsible for maintaining the confidentiality of your password.
You must notify us immediately at security@einvoicey.com of any unauthorized account access.
One account per business entity. You may invite team members within your plan limits.
You must be at least 18 years old and legally able to enter contracts.

4. Subscription Plans and Payment

4.2 Billing

Paid plans are billed monthly or annually in advance.
All prices are in UAE Dirhams (AED) and inclusive of 5% VAT where applicable.
Payments are processed securely by Stripe. We do not store your card details.
Subscriptions automatically renew unless cancelled before the renewal date.

4.3 Refunds

Monthly plans: No refunds for partial months. You may cancel anytime; access continues until the end of the paid period.
Annual plans: Pro-rated refund within 14 days of purchase if requested in writing.
Free plan: No charges, no refunds applicable.

4.4 Plan Limits

If you exceed your plan's invoice or client limits, you will be prompted to upgrade. Existing data is not deleted on downgrade, but new creation will be blocked until you upgrade or delete records to fall within limits.

5. Acceptable Use

You agree not to:

Use the Service for illegal purposes, including tax evasion or money laundering
Create fraudulent invoices or misrepresent transactions
Attempt to reverse-engineer, decompile, or hack the Service
Share your account credentials with unauthorized persons
Upload malicious code, viruses, or harmful content
Use automated scripts or bots to access the Service beyond normal use
Resell or white-label the Service without written permission
Impersonate another business or person

6. Your Data and Intellectual Property

Your data belongs to you. All invoices, customer records, and financial data you create remain your property. You grant us a limited license to store and process this data solely to provide the Service.

You may export all your data at any time using the Export function in Settings. Upon account deletion, we will delete your personal data within 30 days, subject to legal retention requirements (see Privacy Policy, Section 6).

The eInvoicey brand, logo, software, and platform design are our intellectual property. You may not copy, modify, or distribute them without written permission.

7. UAE VAT Compliance

eInvoicey generates invoices and VAT returns based on the information you provide. We implement FTA requirements including:

TLV QR code (Seller name, TRN, timestamp, total, VAT amount) per FTA e-Invoice standard
VAT Return Form 201 boxes as per FTA guidelines
Place of Supply per emirate
Zero-rated, exempt, and reverse charge treatment

However: You are solely responsible for:

The accuracy of data you enter (TRN, amounts, classifications)
Filing VAT returns with the FTA on time
Determining the correct VAT treatment for your transactions
Keeping records as required by UAE tax law

eInvoicey and its team are not registered tax advisors. For tax advice, consult a licensed UAE tax consultant.

8. Service Availability and Modifications

We target 99.5% monthly uptime for paid plans.
Scheduled maintenance will be announced 48 hours in advance where possible.
We reserve the right to modify, suspend, or discontinue any feature with 30 days' notice for material changes.
We may update these Terms. Continued use after 14 days of notification constitutes acceptance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, EINVOICEY SHALL NOT BE LIABLE FOR: (1) ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES; (2) LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES; (3) ANY TAX PENALTIES, FINES, OR ASSESSMENTS RESULTING FROM YOUR USE OF THE SERVICE; (4) ERRORS IN VAT CALCULATIONS RESULTING FROM INCORRECT DATA YOU PROVIDED.

Our total aggregate liability to you for any claims under these Terms shall not exceed the amounts you paid to us in the 3 months preceding the claim, or AED 500, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless eInvoicey and its officers, employees, and agents from any claims, losses, or damages (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party rights; or (d) any data you submit to the Service.

11. Termination

By you: You may cancel your account at any time from Settings → Account. Your data remains accessible until the end of your paid period, then is queued for deletion.

By us: We may suspend or terminate your account immediately for: (a) violation of these Terms; (b) non-payment after 14-day grace period; (c) fraudulent use; or (d) if required by law. We will give reasonable notice except in cases of fraud or legal obligation.

Upon termination, you lose access to the Service. We will provide a 30-day data export window upon request.

12. Governing Law and Disputes

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

Before initiating legal proceedings, both parties agree to attempt good-faith resolution by contacting legal@einvoicey.com.

13. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and eInvoicey.
Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
No Waiver: Failure to enforce any right does not waive future enforcement.
Force Majeure: We are not liable for failures caused by events outside our reasonable control.
Assignment: You may not assign these Terms. We may assign them in connection with a merger or acquisition.
